What Is on the Raise Setup Checklist?

For SponsorsBy Syndelo

Lists each Setup Checklist item on a raise, which ones you need to open, and how to complete them.

The Setup tab on a raise shows a Setup Checklist. It splits into what you need before investors can apply and what's only recommended. The count, like "5 of 8 needed to open", and the tab label, like Setup · 5/8, count only the items you need. Click any unfinished item to jump to the panel on the Setup tab that fixes it.

Needed to Open

  1. Legal Issuer: the company investors are investing in, usually the deal or fund LLC. Type its legal name in Legal Issuer on the Setup tab. See Legal Entities: Issuer and Manager.
  2. Investment Summary: write it in Investment Summary on the Setup tab. The Deal Page tab edits the same text.
  3. Investment Classes: at least one open class investors can choose. See Share Classes and Note Terms.
  4. Subscription Documents: click it to choose one of your published agreements. To add a new one, follow Upload a New Agreement to the signing template page; once you publish it, it is added to the raise. See How Do I Create a Signing Template?.
  5. Funding Instructions: add verified wire or check instructions, reuse ones from another investment, or turn off the funding step. See Set Up Funding Instructions.
  6. Maximum Raise: the most this raise can take in. New raises start with a maximum equal to the target. Change it in Maximum Raise on the Setup tab.
  7. Review & Open: check the summary, confirm once, and open the raise or announce it as upcoming. See How Do I Open a Raise?.

Investors always confirm their saved account details when they apply, so there's nothing to set for that. Application Rules only appears on the checklist if its deadline has passed.

Recommended

These make the investor page better but never block opening. They're hidden once done.

  • Photos: add at least one photo and choose its cover. See Investment Photos.
  • Shared Files: share the operating agreement, PPM or other materials on the Deal Page. See Deal Page and Documents.
  • Headline Numbers: add numbers like target IRR, preferred return or hold period in Deal Page Content.
  • Preview the Investor Page: open the investor page preview once.

Good to know

  • Items update when you reload the raise. They're checked automatically; you can't tick them by hand.
  • New raises start with defaults for the kind of investment. A debt fund has no end date and pays interest monthly, and its agreement doesn't need a sponsor countersignature. An equity fund pays quarterly. Target returns are never filled in for you.
  • Less common settings are under Advanced Settings at the bottom of the Setup tab: application rules, later closings, eligibility reviews and Publication History.
  • On a draft raise, Start From Your Offering Memo at the top of the tab can fill in much of the raise for you, including the legal issuer. See How Do I Fill a Raise From My Offering Memo?.
  • If Review & Open still won't go through, see Why Can't I Open or Announce My Raise?.
