The Service And These Terms
These draft Terms of Service describe the proposed agreement between Syndelo Inc (Syndelo, we, us) and the person or organization using our website, sponsor workspace, investor portal, and related APIs. If you use Syndelo on behalf of an organization, you must have authority to act for it. A separately signed agreement controls where it expressly conflicts with these terms.
Syndelo provides software for investor relationships, fundraising administration, documents, subscriptions, and investment operations. Features depend on your plan, permissions, and configured service providers. Preview or sandbox functionality is identified in the product and does not represent a completed signature, verified accreditation, filed notice, or real payment.
Accounts And Workspace Access
You must be at least 18 and provide accurate account information. Protect your credentials and recovery codes, use available security controls, and promptly report suspected unauthorized access. Each person should use their own login; do not share credentials.
An email identity may belong to multiple sponsors or workspaces. Access to one does not authorize access to another. Organization administrators manage memberships, roles, billing access, and investor permissions. You are responsible for invitations and permissions you authorize and for removing access when it is no longer appropriate.
Sponsors, Investors, And Investment Decisions
Sponsors are responsible for their offerings, disclosures, investor communications, eligibility decisions, legal documents, valuations, taxes, and compliance with applicable securities and other laws. Sponsors must have authority to provide investor information and must obtain required notices, permissions, and consents.
Syndelo is a software provider, not your broker-dealer, investment adviser, attorney, accountant, escrow agent, or custodian. A listing, accreditation status, calculation, filing reminder, or AI-generated response is not an endorsement, investment recommendation, legal opinion, or assurance of compliance. Review calculations and records before relying on them, submitting filings, sending agreements, or authorizing transactions.
Investor registration does not commit anyone to an investment. Investments are governed by the sponsor’s offering and subscription documents, involve risk, and may be illiquid. Resolve questions about an investment, its distributions, or its records directly with the sponsor.
Plans, Billing, And Cancellation
The plan, billing interval, applicable taxes, and amount presented at checkout govern your subscription. Monthly plans renew monthly; annual plans renew annually and are billed in advance. The advertised annual price equals ten monthly payments for a twelve-month term. You authorize recurring charges to your selected payment method until cancellation takes effect.
Authorized users can manage payment methods, view invoices, change plans, and cancel through Settings → Billing when live billing is enabled. The confirmation screen identifies the charge, any proration, and when a change takes effect. Cancellation normally stops the next renewal and leaves access through the paid term shown in Billing. Except where required by law or agreed in writing, unused subscription time is not refundable.
Plans limit assets under management, active investors, active investment vehicles, team members, workspaces, and specified features. Limits apply across the workspaces covered by a subscription. Report AUM accurately. Reaching a limit can prevent additional activity; a downgrade does not authorize continued use of higher-tier features. Failed or overdue payments may result in restricted access. We will disclose price changes before they apply to a renewal.
Software subscription fees are separate from investor contributions, distributions, and third-party transaction or verification charges. Creating a Syndelo account alone does not authorize an investment payment.
Your Data And Our Software
You retain your rights in content you provide. You grant Syndelo permission to host, process, transmit, and display it to provide and support the service, carry out your instructions, and protect the platform. You must have the rights required to upload, share, and process that content. The Privacy Policy describes personal information handling.
Syndelo and its licensors retain rights in the software, design, and service materials. Your subscription permits authorized use of the service; it does not transfer ownership. Do not copy or resell the service, bypass technical restrictions, probe other customers’ data, upload malware, or use it for unlawful or deceptive activity.
Connected Services, Signatures, And AI
Enabled features may use Stripe for software billing, Signclad for electronic signatures, Accredd for accreditation verification, and Anthropic for AI-assisted drafting or review. Their availability and applicable terms may affect a workflow. Credentials, configuration, and an explicit user action may be required before a connection operates.
Review the final document and recipient details before requesting a signature. Electronic signing consent and any right to use an alternative method are handled in the signing workflow and applicable agreement. These platform terms do not replace transaction-specific consent.
AI output can be incomplete or incorrect. Review it before publishing or making decisions. You are responsible for instructions and content submitted to AI tools. Authorized API and MCP clients act with the permissions you grant; secure and revoke their credentials as appropriate.
Availability, Suspension, And Ending Service
We may change the service and perform maintenance. Unless a signed agreement says otherwise, we do not promise uninterrupted availability or a particular service level. Preview features may change or be withdrawn. Shared demo environments contain fictional data, may be visible to other visitors, and reset periodically; do not enter confidential or real investor information there.
We may restrict access to address security incidents, unlawful activity, misuse, or unpaid fees, with notice when reasonably practicable. You may stop using the service and cancel your subscription. Before your access ends, retain copies of records you are required to keep. Cancellation is not an immediate deletion request; retention and deletion are described in the Privacy Policy.
Warranties And Responsibility
To the extent permitted by law, the service is provided as available without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. We do not guarantee investment outcomes, the accuracy of customer-provided information, or third-party performance.
To the extent permitted by law, neither party is liable under these terms for indirect, incidental, special, or consequential damages or lost profits. Syndelo’s aggregate liability arising from the service is limited to fees paid or payable by the affected customer for the service during the twelve months before the event giving rise to the claim. These limitations do not exclude liability that cannot lawfully be excluded, including fraud or willful misconduct. This proposed allocation remains subject to final legal review.
Changes And Contact
We will identify the effective date of the final terms and provide notice of material changes through the service or account email, as appropriate. Any legally required renewed acceptance will be requested. A change will not retroactively remove rights that applicable law protects.
The service operator is Syndelo Inc. Its business mailing address and designated legal contact are awaiting confirmation before these drafts become effective. Governing law and dispute venue also remain to be finalized; this draft does not impose arbitration or a class-action waiver.
