How Do I Link the Legal Issuer and Manager to an Investment?

For SponsorsBy Syndelo

How to add legal entities and link the issuer, manager, and operating template to an investment.

The quickest way to name the issuer is on the raise: type its legal name in Legal Issuer on the raise's Setup tab, which works for every kind of investment, including debt funds. For the manager, entity details and operating template, use the Issuer & Manager panel on the investment's Property or Assets tab. Add the companies with Add Legal Entity, then click Edit Links to choose the Legal Issuer, Manager, and Operating Template.

Steps

  1. Open the investment and go to its Property or Assets tab.
  2. In Issuer & Manager, open Legal Entities and click Add Legal Entity.
  3. Enter Legal Name and Entity Type (required), plus Country Code, Formation State or Region, and Public Registration Number if you have them. Save.
  4. Click Edit Links. In Issuer, Manager & Template, choose the Legal Issuer, the Manager, and an Operating Template, then save.

Operating Templates

The choices are Single Asset Equity, Multi Asset Equity, Joint Venture Equity, Note Fund, Unit Fund, and Hybrid. Pick the one that matches how the vehicle works. A legal label does not add new steps or features.

Good to know

  • One legal entity can serve more than one deal or fund. Editing it (Edit Issuer / Edit Manager) changes it everywhere it's linked.
  • Do not put a tax ID in the registration number field.
  • If the panel shows Publication blocked., fix the listed items. Common ones: "Use the multi-asset template for a vehicle with multiple assets" and "The selected template does not support this vehicle type."
  • Saving Legal Issuer on a raise reuses a workspace entity with the same legal name, or adds one in the US using the investment's legal structure (an LLC if none is set).
  • The raise's publication checks also require an issuing company. See Why Can't I Open or Announce My Raise?
