How Do I Create an Investment?

For SponsorsBy Syndelo

How to add a syndication, debt fund, or equity fund from your offering documents, by hand, or by copying a previous investment, with its legal entity and a draft raise in one step.

Go to Investments and click Add Investment. You can start from your offering documents, enter the details by hand, or copy a previous investment. Each way ends on the same short form, and Syndelo creates the investment, its legal entity, its classes, and a draft raise together, so you land straight on the raise's setup checklist.

Choose How to Start

  • Start From Your Documents: upload your PPM, offering memorandum, operating agreement, or investor deck, and Syndelo suggests the details. This option appears when document reading is set up for your workspace.
  • Enter Details Manually: answer a few questions yourself.
  • Copy a Previous Investment: start from a deal or fund you've already set up. This option appears once you have one.

Start From Your Documents

  1. Click Start From Your Documents and add up to 8 files. PDF, Word (.docx), PowerPoint (.pptx), and JPEG, PNG, or WebP images work, up to 20 MB each. PDFs and images together must stay under 22 MB.
  2. Click Read Documents. Longer documents can take a minute or two. Nothing is created or saved while Syndelo reads them.
  3. Review each suggestion. Syndelo may suggest the investment type, name, location and property address, the legal entity and the state where it was formed, the entity type, the fundraising target, minimum, and who can invest, the target close date, your share or note classes, the preferred return and profit split, fees, headline numbers, an investment summary, and highlights. Uncheck anything that's wrong.
  4. Under Use These Photos, check the photos from your deck to add to the gallery.
  5. Under Share These Documents With Investors, check the files to add to the raise's shared files. Your PPM or offering memorandum starts checked. Files you don't share aren't kept. PowerPoint files can't be shared as they are; export a PDF to share one.
  6. Click Use Selected Values. The form opens filled in. Check every field, then click Create Deal or Create Fund.

Fees from your documents appear as key information on the deal page. The profit split is saved as your payout defaults when your workspace has exactly one GP account; otherwise set it under Return and Fee Terms later.

Enter Details Manually

  1. Under What Are You Setting Up?, choose one:
    • Single Deal / Syndication: raise funds for one property, project, or business.
    • Debt Fund: pool investor funds to make or buy loans.
    • Equity Fund: pool investor funds to buy and manage a group of investments.
  2. Enter the Deal Name or Fund Name. You can also add the Property Location (for a deal) or Where You Invest (Optional) (for a fund).
  3. Check Legal Entity Investors Join. Syndelo fills in your name plus "LLC". Change it to match your operating agreement, or clear it to add it later. Add the State Where It Was Formed (Optional). If the same entity already exists in your workspace, Syndelo reuses it.
  4. For a debt fund, fill in What Investors Get: add a class for each rate you pay, with a Class Name, an optional Minimum Investment, and an Annual Interest Rate. Click Add Class for more. Then choose How Long Do Notes Run?: No Fixed Term (Open-Ended) or Fixed Term with a Term (Months). Debt fund notes pay interest, so they don't get a preferred return.
  5. Write the Investment Summary. Investors see it on the deal page, and raise cards show its first few sentences. Start a line with "- " for a bullet.
  6. Under Raise Money Online, leave Create a Draft Raise checked if you're taking money online. Enter the Fundraising Target (USD), the Minimum Investment (USD), and Who Can Invest? (506(b) or 506(c)). For a debt fund with class minimums, the raise uses the smallest class minimum, so you don't enter it again.
  7. If you've run a raise before, Copy Setup From reuses that raise's questions, investor steps, confidentiality terms, audience, and subscription documents. Choose Start Fresh to skip it.
  8. Optionally open Legal Details (Optional) to set the entity type and, for funds, Can Investors Join and Leave Over Time? (evergreen, open-ended, or one fixed raise).
  9. Click Create Deal or Create Fund.

Copy a Previous Investment

  1. Click Copy a Previous Investment, choose it under Copy From, and click Continue.
  2. The form opens with the same type and structure, and the next name in the series (for example, Fund I becomes Fund II).
  3. Under Legal Entity Investors Join, choose Create a New Entity (Syndelo suggests a name like "Fund II LLC") or reuse the old one.
  4. Choose what to copy:
    • Copy Share Classes (or Copy Note Terms): the classes with their preferred returns, rates, minimums, and note settings.
    • Copy Return and Fee Terms: the payout rules, saved as a draft that another team member approves, as with any change to these terms.
    • Copy Deal Page Text: the summary and links. Leave the Investment Summary blank to use them.
    • Also Copy Headline Numbers and Highlights: off by default, because target IRR, hold period, and other figures usually belong to the old deal.
    • Reuse Funding Instructions: after you create the investment, choose Use Instructions From Another Investment and confirm with your password and an emailed code.
  5. Enter the new Fundraising Target (USD). The raise copies the old raise's setup (questions, investor steps, confidentiality terms, audience, and subscription documents). Targets, dates, and projections are never copied unless you check them.
  6. Click Create Deal or Create Fund.

What happens next

If you created a raise, Syndelo opens its Setup tab. The checklist there shows what's left before investors can apply. See What Is on the Raise Setup Checklist?.

If you didn't, the investment page shows a Set Up Your Deal (or Fund) checklist that walks you through your share classes or note terms, photos, and creating a raise. Once a raise exists, that checklist points you to the raise's own checklist instead of repeating it. Debt funds also get a step to add loans.

When you set a preferred return at creation, Syndelo uses it for the classes, the deal page headline, and your payout defaults, so they match.

You need permission to manage raises to add an investment. Copying return and fee terms also needs permission to prepare finance changes, and sharing files needs permission to manage documents.
